Text of the report

The Management Board of Inter Cars S.A. (the “Company”) announces that on March 7th 2016 the Company received a notification of change in holding of Company shares from AXA Powszechne Towarzystwo Emerytalne S.A., given on behalf of AXA Otwarty Fundusz Emerytalny, an open-ended pension fund, reading as follows:

“Acting on behalf of AXA Otwarty Fundusz Emerytalny, an open-ended pension fund (AXA OFE) represented by AXA Powszechne Towarzystwo Emerytalne S.A. (the “Pension Fund”), pursuant to Art. 69.2 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies, dated July 29th 2005 (Dz.U. of 2005 No. 184, item 1539, as amended) (the “Act”),

I hereby give notice that:

 

  1. As a result of the sale of shares in Inter Cars S.A. (the “Company”) on the Warsaw Stock Exchange on March 1st 2016, AXA Otwarty Fundusz Emerytalny’s interest in the Company’s share capital and total vote fell below 5%. 

    Immediately before the change, AXA Otwarty Fundusz Emerytalny held 797,777 Inter Cars shares, representing 5.63% of the Company’s share capital and conferring the right to 797,777 votes (or 5.63% of the total vote) at the Company’s general meeting.
    After settlement of the transactions of March 1st 2016, AXA Otwarty Fundusz Emerytalny now holds 697,474 Inter Cars shares, representing 4.92% of the Company’s share capital and conferring the right to 697,474 votes (or 4.92% of the total vote) at the Company’s general meeting.
     
  2. There are no AXA OFE’s subsidiaries holding, directly or indirectly, any Company shares.
     
  3. There are no persons such as those referred to in Art. 87.1.3.c of the Act.”
