Text of the raport

The Management Board of Inter Cars S.A. of Warsaw (“Company”) publishes information it received from its attorney-in-fact operating in the Ukraine, obtained from the State Register of Legal Entities of the State Registration Service of Ukraine, that amendments made to the Articles of Association of Inter Cars Ukraina Sp. z o.o of Ukraine (Company's subsidiary) following an increase in its share capital were registered on November 13th 2012. 

The company's Articles of Association were amended pursuant to a resolution adopted by the General Meeting of Inter Cars Ukraina Sp. z o.o. held on October 9th 2012, which resolved to increase the company's share capital from UAH 10,285,075.00 to UAH 85,685,075.00 through a cash contribution by Inter Cars S.A. of Warsaw in the amount of UAH 75,400,000.00, or PLN 29,089,320.00 translated at UAH/PLN mid-exchange rate in effect as at the date of the resolution.

The share capital increase was financed using the Company's own funds and is treated as a long-term investment. Following the increase, the Company holds 96.4% of the share capital of Inter Cars Ukraina Sp. z o.o. whose value totals UAH 82,599,552.00
