Acting pursuant to Par. 5.1.22 of the Minister of Finance's Regulation on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state, dated February 19th 2009 (Dz.U. of 2009 No. 33, item 259), the Management Board of Inter Cars S.A. reports that the Supervisory Board, at its meeting held on July 16th 2013, adopted Resolution No. 11 to appoint Mr Wojciech Twaróg as Member of the Company's Management Board responsible for sales.

Mr Wojciech Twaróg graduated in Physics from the Jan Kochanowski University (formerly: Wyższa Szkoła Pedagogiczna) in Kielce, Poland. Since the beginning of his professional career, Mr Wojciech Twaróg has been involved with the independent automotive aftermarket industry. In 1996–2006, he worked as Managing Director for JC Auto S.C. – Jadwiga Turbiarz, the largest distributor of JC Auto S.A.'s products. In 2006, following JC Auto S.A.'s takeover of his employer, Mr Twaróg took the position of Sales Manager at the JC Auto Group. After the 2008 merger of JC Auto S.A. and Inter Cars S.A., he was appointed Head of Passenger Car Market at the surviving company, to finally progress to the position of Chief Officer responsible for the entire domestic passenger car aftermarket business in 2011. Mr Twaróg has held the position ever since.
Mr Wojciech Twaróg conducts business activities under the name of Geco-Wojciech Twaróg, which are not competitive with respect to Inter Cars S.A.'s business.

The Company has received a representation from Wojciech Twaróg to the effect that he does not conduct any activities competitive to the Inter Cars Group's business, that he is not a partner in any competitive partnership under civil law or another type of partnership, a member of a governing body of any incorporated company, or a member of a governing body of any other legal entity competing with the Inter Cars Group. Wojciech Twaróg is not entered in the Register of Insolvent Debtors maintained under the National Court Register Act.
