In fulfilment of the requirement provided for in Section 5.1.22 of the Minister of Finance's Regulation on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state, dated February 19th 2009 (Dz.U. of 2009 No. 33, item 259, as amended), the Management Board of Inter Cars S.A. (the "Company") reports that on January 21st 2013 it adopted a resolution to grant a commercial power of attorney to Mr Piotr Zamora.
Under the commercial power of attorney, Mr Piotr Zamora is authorised to perform any actions relating to the Company's business, before court and out of court, in accordance with the rules of representation described in the Company's Articles of Association.
Mr Piotr Zamora (aged 40) holds an MA degree and graduated from the Kraków University of Economics. In his professional career, he worked for Deloitte & Touche Audyt Polska (1996–1997: assistant at audit department), KPMG Audyt (August 1997–January 2001: assistant-manager at audit department), KPMG Paris (France) (January 2001–April 2002: internship at audit department), and KPMG Audyt (Poland) (May 2002–August 2008: Senior Manager at audit department).
In September 2008, Mr Piotr Zamora was appointed Deputy CFO, in charge of reporting and controlling, at Inter Cars S.A., and on January 1st 2013 he became the Company's Chief Financial Officer. Concurrently, since the beginning of 2010 Mr Piotr Zamora has been a management board member at Inter Cars Limited (Cyprus), a subsidiary, where his duties include supervision of operating activities. Since May 2012, he has served as a management board member and CFO at subsidiary Inter Cars Marketing Services Sp. z o.o.
Mr Piotr Zamora has represented that he does not conduct any activity competitive with Inter Cars S.A.'s business and that he is neither a partner in any partnership under civil law or another partnership engaged in activities competitive with the Company's business, nor a member of the governing bodies of incorporated companies or other legal entities engaged in activities competitive with the Company's business. Mr Piotr Zamora is not entered in the Register of Insolvent Debtors maintained under the National Court Register Act.
