The Management Board of Inter Cars S.A. (the “Company”) announces that on May 24th 2021 it was notified of a resolution passed on that day by the Company’s Supervisory Board concerning extension of the existing agreement for audit of financial statements and appointment of PricewaterhouseCoopers Polska Spółka z ograniczoną odpowiedzialnością Audyt Sp. k. (formerly PricewaterhouseCoopers sp. z o.o.), with its registered office at ul. Polna 11, 00-633 Warsaw, Poland, National Court Register entry No. KRS 0000750050, entered in the list of audit firms maintained by the National Council of Statutory Auditors under Reg. No. 144 (“PwC”), as an audit firm authorised to:
- audit Inter Cars S.A.’s separate financial statements and the Inter Cars Group’s consolidated financial statements for January 1st – December 31st 2021 and January 1st – December 31st 2022; and
- review Inter Cars S.A.’s separate financial statements and the Inter Cars Group’s consolidated financial statements for January 1st – June 30th 2021 and January 1st – June 30th 2022.
Furthermore, in the same resolution, the Supervisory Board obliged the Management Board to execute relevant agreements with PwC whereby the term of the existing agreement is extended for two years. PwC was also selected to audit the 2021 and 2022 separate financial statements of key entities of the Inter Cars Group other than Inter Cars S.A.
The audit firm was appointed after the Company’s Supervisory Board had read and considered a recommendation from its Audit Committee, prepared in compliance with applicable laws and the Company’s internal regulations. The audit firm was appointed in accordance with the Company’s Articles of Association and with applicable laws. The Company had previously engaged PwC to audit and review its financial statements until 2004 as well as for 2016, 2017, 2018, 2019 and 2020.
