Text of the report

The Management Board of Inter Cars S.A. (the “Company”) reports that on September 8th 2015 the Extraordinary General Meeting of the Company adopted a resolution to appoint Tomasz Rusak as member of the Company’s Supervisory Board for the current term of office, with effect from September 15th 2015.

 

Mr Rusak’s biographical note containing information on his educational background and listing his qualifications, previously held positions and professional experience is attached to this current report.

 

According to his statement, Mr Rusak does not conduct any activities competitive with the Inter Cars Group’s business, and is not a partner in any competitive partnership under civil law or another type of partnership, a member of a governing body of any incorporated company, or a member of a governing body of any other legal entity competing with the Inter Cars Group. Also, according to the submitted representation, Mr Rusak is not entered in the Register of Insolvent Debtors maintained under the National Court Register Act.

Inter Cars S.A. Supervisory Board member’s biographical note

Tomasz Rusak 

 

Expert in finance and investment project management with extensive professional experience.

Graduate in Finance and Banking, Warsaw School of Economics (2001). In addition, he studied international finance at Lunds Universitet, Sweden, as well as risk management at Gerhard-Mercator-Universität in Duisburg (currently Universität Duisburg-Essen), Germany. He also completed the Association of Chartered Certified Accountants (ACCA) programme (2004). 

 

Manager with long experience in corporate finance management on the property market. Between 2006 and 2010, CFO and member of the management board of Atlas Management Company (Poland) Sp. z o.o., where he was responsible for managing the Polish arm of Atlas Estates Ltd., an investment company listed on the Warsaw Stock Exchange, formed to invest in commercial and residential property across Central and Eastern Europe. Then, between 2010 and 2013, he served as CFO at ORCO Property Group in Poland, an international property investment group listed on a number of stock exchanges, including Warsaw and Prague. In 2013−2015, CFO at Hochtief Development Poland Sp. z o.o. 

 

Earlier, in 2004−2006, he worked as a senior consultant at Andersen Business Consulting, providing advice on a variety of issues, including corporate finance, enterprise value management and business strategy development. In 2000−2003, he was employed at Deloitte, initially as a tax and then a financial adviser, with a special focus on M&A transactions and business fraud risk management.
