Text of the report:

The Management Board of Inter Cars S.A. (the “Company”) announces that on June 20th 2016 the Company’s Supervisory Board decided to appoint Mr Maciej Oleksowicz as member of the Company’s Management Board, as of July 1st 2016, for the current joint four-year term of office, which commenced on December 11th 2014. Furthermore, the Supervisory Board decided that the Management Board will consist of five persons.

Mr Maciej Oleksowicz will hold the position of the Chief IT Strategy Officer of the Inter Cars Group.

Mr Oleksowicz’s biographical note containing information on his educational background and listing his qualifications, previously held positions and professional experience is attached to this current report.

Mr Maciej Oleksowicz holds an equity interest in, and is the president of the management board of a limited liability company which operates in the area of servicing of racing cars and sale of spare parts for such cars. The Company’s Supervisory Board agreed to Mr Maciej Oleksowicz’s continuing involvement in that business given its highly specialised nature and irrelevance to the business conducted by the Inter Cars Group. Moreover, Mr. Maciej Oleksowicz is registered as a sole trader operating in a business which not competitive to the business of the Inter Cars Group.

According to his statement, Mr Oleksowicz does not conduct any activities competing with the Inter Cars Group’s business other than the business referred to above, and is not a partner in any competing partnership under civil law or another type of partnership, a member of a governing body of any incorporated company, or a member of a governing body of any other legal entity competing with the Inter Cars Group. Also, according to his representation, Mr Oleksowicz is not entered in the Register of Insolvent Debtors maintained under the National Court Register Act.
 

Biographical note

 

Maciej Oleksowicz – member of the Management Board

Mr Oleksowicz holds a degree in marketing and management from the Kozminski University and the University of Warsaw. He is a rally driver: he took part in the European Rally Championship in 2010−2011 and in the SWRC in 2012.

From 2007, he conducted a business involving organising safe drive trainings and motorsports-themed team-building events. Since 2009, he has been active in servicing of racing cars and sales of spare parts for such cars.

In 2000−2008, he worked for Inter Cars, where he created the motorsports and tuning spare parts department and implemented ERP IT systems, data warehouses, logistics systems and stock planning systems.

In 2001−2015, he served as member of the Company’s Supervisory Board. As of September 15th 2015, Mr Oleksowicz resigned as member of the Company’s Supervisory Board due to his intention to become actively involved in the management of the Company and the Inter Cars Group, particularly in the area of new technologies and IT. Immediately before being appointed as Management Board member, Mr Oleksowicz served as the Company’s commercial proxy.

Mr Oleksowicz’s role at the Company is that of the Chief IT Strategy Officer of the Inter Cars Group.
